Résumé :
Since 2004, the beginning of my business studies, I'm particularly interested in finance and more precisely by the "stock market world". This is why I wanted a topic related to finance.
My topic is can be summarized in this sentence: The ethical problems linked to hostile acquisitions. Instead of acquisitions, plenty of words can be said like: takeovers, mergers.
The topic is related to the theme, more precisely with the part "Ethical issues" because the consequences of takeovers can be an important ethical issue, for example, if hostile mergers destroy jobs.
The topic is also very interesting because there are more and more hostile takeovers in the world and nowadays, a lot of sectors are consolidating. Like a case study I have chosen the merger between arcelor and mittal Steel. mittal Steel is the biggest producer of steel in the world and has bought arcelor which was the first producer in Europe. This merger happened in 2005.
The paper will show the hostile acquisition's consequences, for the buyer and the target, what are buyer's motivations? What are employment's consequences? How does it is possible? What is the aim of the mergers?
Nowadays, plenty of the biggest multinationals enterprises (MNE's) are concerned by mergers and the globalization is going to accelerate this phenomenon.
'European merger transactions are being propelled by several economic and political forces that have developed in the last 10 to 15 years: globalization has had major implications of industrial competitiveness and financial markets have become more integrated' (Johnson, 1999:3). My comrades and I are studying international business and many of us want to work for an international firm, I think that my topic can be very useful, we need to be aware of this and it is an essential knowledge if we want to work in MNE's. Therefore, the main goal of my work is the following: when that a student reads the final project, he knows the most important facts about hostile takeovers and the ethic problems linked to the acquisition.
I also want to understand how mittal succeeded with its hostile takeover towards arcelor and what are the consequences on the short term.
My research questions are:
Q1) What are the ethical problems linked to a hostile acquisition?
This question can be used as my topic title, it's a very large question and to answer.
Q2) What is a hostile acquisition? What are the mechanisms?
This general question allows the reader to have the essential background about acquisitions.
Q3) What is the impact of mergers and acquisitions on employees, culture and strategy?
By answering to this question I will analyze the merger inside the firm which is bought
Q4) What are the motivations behind a hostile takeover?
I will speak about my case study and what is the post-hostile acquisition strategy of mittal.
